Please read these Terms of Use carefully before accessing or using Wave Billing System.
These Terms of Use ("Terms") govern your access to and use of the services, applications, websites, and related features provided by Wave Billing System ("Platform", "we", "us", or "our"). By using the Platform, you agree to these Terms.
You must provide accurate registration information and keep your account details updated. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials.
You agree to use the Platform only for lawful business purposes. You must not misuse the Platform, attempt unauthorized access, interfere with system security, distribute malicious code, or use the Platform in violation of applicable law or third-party rights.
We may update, modify, suspend, or discontinue features at any time. We strive for reliable service, but uninterrupted availability is not guaranteed. Planned maintenance and emergency downtime may occur.
Paid features are billed according to your selected plan. You authorize us and our payment providers to process applicable charges. Fees may be non-refundable except where required by law or expressly stated otherwise. You are responsible for taxes related to your use of the Platform.
You retain responsibility for data you submit, including customer and operational data. You represent that you have rights and lawful basis to process such data. Our handling of personal data is governed by our Privacy practices and applicable law.
The Platform, including software, content, branding, and design elements, is owned by or licensed to us and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, reverse engineer, distribute, or create derivative works from the Platform.
The Platform may integrate with third-party systems and gateways. We are not responsible for third-party services, their availability, policies, or changes that may affect integration behavior.
We may suspend or terminate access if you violate these Terms, create security risks, fail to pay applicable fees, or engage in prohibited conduct. You may stop using the Platform at any time, subject to outstanding obligations.
The Platform is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities. Our aggregate liability arising out of these Terms will not exceed fees paid by you for the Platform during the 12 months preceding the claim.
You agree to defend, indemnify, and hold us harmless from claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, your data, or your violation of these Terms or applicable law.
These Terms are governed by applicable laws of the jurisdiction in which our primary business operations are established, unless otherwise required by mandatory law. Parties will first attempt to resolve disputes amicably before pursuing formal legal remedies.
We may update these Terms from time to time. Updated Terms become effective upon publication unless otherwise stated. Continued use of the Platform after updates constitutes acceptance.
